TERMS OF SERVICE
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE LYMNUS PLATFORM. BY ACCESSING OR USING LYMNUS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lemnia LLC ("Company," "we," "us," or "our"), a Delaware limited liability company with its principal place of business at 131 Continental Dr, Suite 305, Newark, Delaware 19713, United States, operating the Lymnus platform accessible at https://lymnus.com (the "Platform").
By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any other policies incorporated herein by reference.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and that your agreement to these Terms will be treated as the agreement of the organization.
2. Description of Service
2.1 The Lymnus Platform
Lymnus is a B2B Software-as-a-Service (SaaS) data intelligence platform that provides the following core services:
Document Extraction: Automated extraction of structured and unstructured data from uploaded documents including PDFs, Word documents, Excel spreadsheets, CSV files, JSON files, and other supported formats.
Data Processing: Intelligent transformation, cleaning, normalization, and conversion of datasets across multiple output formats including JSON, CSV, XLSX, SQL, and Markdown.
Synthetic Data Generation: AI-powered generation of realistic synthetic datasets based on user-defined schemas and parameters, up to the record limit applicable to your Subscription Plan.
Report Creation: Automated generation of structured reports and financial models from processed data.
AI Chat Assistant: Conversational AI interface for querying, analyzing, and modifying projects and reports.
Workflow Automation Agents: Visual drag-and-drop agent builder for automated data processing workflows with support for scheduled execution, up to the agent limit for your Subscription Plan.
App Integrations: Connections to a growing library of third-party services including Google Workspace, Microsoft Office 365, Dropbox, and various databases, CRMs, and project management tools.
API Access: Developer API for programmatic access to Platform features, subject to your plan's API access entitlements.
2.2 AI Technology
The Platform utilizes multiple artificial intelligence models to power its services, including but not limited to Anthropic's Claude, OpenAI's GPT models, and Google's Gemini models. The specific models used may vary based on your subscription plan, system configuration, and processing requirements. We employ intelligent load balancing and optimization techniques to maximize processing speed and efficiency.
You acknowledge that AI-generated outputs may contain errors, inaccuracies, or hallucinations, and that you are solely responsible for reviewing, validating, and verifying any AI-generated content before relying on it for business decisions, downstream systems, or any other purpose.
2.3 Service Availability
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary service interruptions. We will use reasonable efforts to notify users in advance of planned maintenance windows. Paid plan uptime targets are described in our Service Level Agreement at https://lymnus.com/legal.
3. Account Registration and Security
3.1 Account Creation
To access the Platform, you must create an account by providing accurate, current, and complete information. You may register using:
Email address and password
Google OAuth authentication
Microsoft OAuth authentication
GitHub OAuth authentication
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must: choose a strong, unique password; enable two-factor authentication (2FA) where available; and immediately notify us at contact@lymnus.com if you suspect any unauthorized access to your account.
3.3 API Tokens
If you use our API, you are responsible for the security of your API tokens. Treat API tokens as passwords. Do not embed them in publicly accessible code, commit them to version control systems, or share them in any way that could lead to unauthorized access.
3.4 Age Requirement
The Platform is intended for business users and professionals. You must be at least 18 years of age to create an account and use the Platform. By registering, you represent that you are at least 18 years old.
4. Teams and Collaborative Features
4.1 Team Creation and Management
The Platform supports team-based collaboration. Team owners and administrators may create and manage teams, invite team members via email, assign roles and permissions, and monitor team usage and token consumption.
4.2 Team Roles and Permissions
The Platform supports a role-based access control (RBAC) system. Team owners are responsible for setting appropriate permissions for all team members. You acknowledge that team members with sufficient permissions may access, modify, export, or delete team data.
4.3 Team Owner Responsibility
Team owners are responsible for ensuring all team members comply with these Terms, managing team member access and permissions appropriately, and monitoring token consumption by all team members.
5. Subscription Plans and Billing
5.1 Token-Based Consumption Model
Lymnus operates on a token-based consumption model. All AI processing operations — including data extraction, processing, synthetic data generation, report creation, AI chat, and agent executions — consume tokens from your account balance. The number of tokens consumed varies based on the complexity, size, and type of operation performed.
5.2 Subscription Plans
We offer multiple subscription tiers with different feature entitlements, token allocations, storage limits, and usage limits. Current plan details and pricing are published at https://lymnus.com/pricing and are subject to change with notice as described in Section 16. By subscribing to a plan, you agree to pay the applicable fees.
5.3 Free Plan
A Free plan is available with limited token allocation, storage, and feature access. We reserve the right to modify or discontinue the Free plan at any time with reasonable notice.
5.4 Billing and Payment
Paid subscriptions are billed through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. All fees are charged in United States Dollars (USD), are non-refundable except as expressly stated in Section 5.9, are subject to applicable taxes (your responsibility), and automatically renew unless you cancel before the renewal date.
5.5 Token Allocation
Each subscription plan includes a monthly token allocation. Monthly token allocations reset at the start of each billing period. Token rollover, if available on your plan, is described in your Plan Details. Tokens have no cash value and cannot be transferred between accounts.
5.6 Usage Limits
Feature usage limits — including but not limited to the number of projects, records generated per run, team members, workflow agents, app integrations, and API requests — are determined by your Subscription Plan as described in your Plan Details and on our Pricing page. If you exhaust your token balance, processing operations will be suspended until replenished.
5.7 Storage
Your subscription includes a storage allocation as described in your Plan Details. Exceeding your storage limit may result in restrictions on uploading new files or additional charges at the overage rate specified in your plan.
5.8 Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days' advance notice of price changes for existing subscribers via email or in-Platform notification. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
5.9 Refunds
Due to the nature of AI processing services and token consumption, all fees paid for subscriptions and token purchases are generally non-refundable. Exceptions may be made in cases of documented technical failures on our part, billing errors, or refund requests submitted within 7 days of an initial subscription purchase where no significant token consumption has occurred. To request a refund, contact us at billing@lymnus.com.
5.10 Subscription Cancellation
You may cancel your subscription at any time through the Platform's billing settings. Upon cancellation, your subscription remains active until the end of the current billing period. We do not provide pro-rated refunds for partial billing periods.
6. App Integrations and Third-Party Services
6.1 Third-Party Integrations
The Platform supports integrations with a growing library of third-party services. Integration availability may vary by Subscription Plan.
6.2 OAuth Authorization
When you connect a third-party service, you grant the Platform permission to access your data on that service in accordance with the permissions you authorize during the OAuth flow. You are responsible for understanding what permissions you grant, ensuring you have the right to grant such access, and revoking access when no longer needed.
For Google service integrations specifically, the data we access is used solely to perform the import or export operation you initiate. We access only the data necessary for the specific operation requested, in accordance with Google's Limited Use requirements and our Privacy Policy.
6.3 Third-Party Terms
Use of third-party integrations is subject to the terms and conditions of those third-party services. We are not responsible for the availability, accuracy, or conduct of third-party services.
7. Intellectual Property
7.1 Your Content
You retain full ownership of all data, documents, files, and content you upload to or create through the Platform. By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely as necessary to provide the Platform services to you.
7.2 AI-Generated Outputs
Outputs generated by the Platform's AI systems based on Your Content are provided to you for your use. To the maximum extent permitted by applicable law, we assign to you any intellectual property rights we may hold in Generated Outputs. However, we make no representations or warranties that Generated Outputs are original, novel, or free from third-party intellectual property rights.
7.3 Platform Intellectual Property
The Platform, including its design, code, functionality, documentation, branding, and all related intellectual property, is and remains the exclusive property of Lemnia LLC. These Terms do not grant you any rights in or to the Platform except the limited right to use it as expressly set forth herein.
7.4 Feedback
If you provide us with suggestions, ideas, feedback, or recommendations regarding the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without obligation or compensation to you.
7.5 DMCA / Copyright Complaints
We respect intellectual property rights. If you believe that content on the Platform infringes your copyright, please send a notice to contact@lymnus.com including a description of the copyrighted work, a description of where the infringing material is located, your contact information, and a statement of good faith belief.
8. Prohibited Uses and Acceptable Use
Your use of the Platform is governed by our Acceptable Use Policy, available at https://lymnus.com/legal, which is incorporated into these Terms by reference. You agree not to use the Platform to:
Upload, process, or generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
Violate any applicable law or regulation
Upload or transmit viruses, malware, or any other malicious code
Attempt to gain unauthorized access to any part of the Platform or its related systems
Use automated means to access the Platform in ways not expressly authorized
Reverse engineer, decompile, or disassemble any portion of the Platform
Use the Platform to create, train, or improve competing AI models or services
Resell or sublicense access to the Platform without express written permission
Attempt to circumvent token limits, billing systems, or access controls
Process personal data of individuals under 18 years of age without appropriate legal basis
9. Data Processing and Privacy
9.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, available at https://lymnus.com/legal, which is incorporated into these Terms by reference.
9.2 Data You Upload
You are solely responsible for the data you upload to the Platform, including ensuring you have all necessary rights, consents, and permissions to upload and process such data. You represent and warrant that: you own or have a license to all data you upload; processing your data through the Platform does not violate any third party's rights; and you have obtained all required consents from individuals whose personal data you upload.
9.3 AI Model Training
We do not use your uploaded data or AI-generated outputs to train or improve our AI models or those of our AI service providers. Your data is processed solely to deliver the services you request.
9.4 Data Security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security assessments.
10. Automation Agents
You are fully responsible for the configuration, behavior, and outputs of any agents you create. Automated agent executions consume tokens from your balance. We are not responsible for errors, unintended actions, or data loss resulting from misconfigured agents. Agent usage is subject to limits as defined in your Subscription Plan.
11. API Use
Subject to these Terms and your Subscription Plan, we grant you a limited, non-exclusive, non-transferable right to access and use our API. API usage is subject to rate limits as described in our API documentation. You may not use the API to build a competing product, exceed authorized rate limits, access data belonging to other users, or resell API access.
12. Disclaimers and Limitation of Liability
12.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LEMNIA LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEMNIA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF: (i) THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
12.3 AI Output Disclaimer
AI-generated outputs, including extracted data, processed data, synthetic data, reports, and financial models, are provided for informational and operational convenience only. You must independently verify all AI outputs before relying on them for business decisions, regulatory compliance, financial reporting, medical or legal advice, or any other high-stakes purpose.
13. Indemnification
You agree to indemnify, defend, and hold harmless Lemnia LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your use of or access to the Platform; your violation of these Terms; your violation of any law or the rights of a third party; data or content you upload to the Platform; or your agents, integrations, or API usage.
14. Suspension and Termination
14.1 Termination by You
You may terminate your account at any time by deleting your account through the Platform settings or by contacting us at contact@lymnus.com. Upon termination, your right to use the Platform will immediately cease.
14.2 Termination or Suspension by Us
We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for violations of these Terms or our Acceptable Use Policy; non-payment of fees; fraudulent, abusive, or illegal activity; or at our sole discretion with 30 days' notice.
14.3 Effect of Termination
Upon termination: all licenses granted to you under these Terms will immediately terminate; you must cease all use of the Platform; we may delete your account and all associated data in accordance with our Privacy Policy. Sections 7, 9, 12, 13, 15, and 17 will survive termination.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal legal proceedings, you agree to first contact us at contact@lymnus.com and attempt to resolve any dispute informally for at least 30 days.
15.2 Binding Arbitration
EXCEPT FOR CLAIMS SEEKING INJUNCTIVE OR EQUITABLE RELIEF, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. The arbitration will be conducted in Wilmington, Delaware, or virtually.
15.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15.4 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Newark County, Delaware.
16. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes by sending an email to the address associated with your account, displaying a prominent notice on the Platform, and updating the "Last Updated" date. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies incorporated by reference, constitute the entire agreement between you and Lemnia LLC regarding the Platform.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet disruptions, or failures of third-party service providers.
17.6 Notices
Legal notices to us must be sent to: Lemnia LLC, 131 Continental Dr, Suite 305, Newark, Delaware 19713, United States, or by email to contact@lymnus.com. Notices to you will be sent to the email address associated with your account.
17.7 Export Controls
The Platform and your use of it are subject to U.S. export control laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country.
